Welcome to Jamo VFX. The terms “we,” “us,” and “our” refer to Jamo VFX.

Jamo VFX operates this store and website, including all related information, content, features, tools, products, software, digital assets, and services in order to provide you, the customer, with a curated shopping experience (the “Services”). Jamo VFX is powered by Shopify, which enables us to provide the Services to you.

These Terms of Service, together with any policies or additional terms referenced herein (collectively, the “Terms”), describe your rights and responsibilities when you access or use the Services or purchase or use products offered by Jamo VFX.

Please read these Terms carefully. They contain important information regarding software licensing, permitted use, intellectual property, refunds, warranty disclaimers, and limitations of liability.

By accessing or using the Services, purchasing a product, or accepting these Terms when presented with an acceptance mechanism during checkout, you agree to be bound by these Terms.

You are responsible for maintaining the security of your account credentials, download links, license credentials, and other access information associated with your purchases.

You may not sell, transfer, sublicense, publicly share, or otherwise make available account or license credentials except where expressly authorized by Jamo VFX.

SECTION 2 — OUR PRODUCTS

We make reasonable efforts to accurately describe and represent products and services offered through our online store.

Product descriptions, demonstrations, screenshots, videos, examples, compatibility information, feature descriptions, and other materials are intended to help you evaluate a product but may vary depending on your device, software environment, operating system, host application, configuration, workflow, or other factors.

Product descriptions, features, pricing, availability, compatibility information, and included content may be updated from time to time.

We reserve the right to modify or discontinue products or Services, subject to applicable law and any specific rights or commitments expressly provided to customers at the time of purchase.

Unless expressly stated otherwise, purchasing a digital product does not transfer ownership of the underlying software, code, presets, templates, graphics, assets, designs, intellectual property, or other proprietary materials to you. Your purchase provides a license to use the applicable product subject to these Terms and any product-specific terms.

SECTION 3 — SOFTWARE AND DIGITAL PRODUCT LICENSE

Subject to your payment of applicable fees and continued compliance with these Terms, Jamo VFX grants you a limited, non-exclusive, non-transferable license to use the software and digital products you purchase from us for your own personal or professional creative work.

This license permits you to use purchased products in commercial creative projects, including work created for clients, unless a particular product expressly states otherwise.

Software and Plugins

For software and plugin products, your license permits you to install and use the software subject to any device, activation, account, or other license limitations applicable to the product.

Certain products may require online activation or periodic license validation.

An internet connection may therefore be required for activation, validation, deactivation, license recovery, or other licensing functionality.

License-protected products may associate a license with an authorized device or machine as described in our Privacy Policy.

The number of permitted activations or devices may vary by product and may be stated on the product page, within product documentation, within the software, or through the applicable licensing system.

Digital Assets, Presets, Templates, and Similar Content

Unless expressly stated otherwise, purchased digital assets may be incorporated into your own completed personal or commercial creative projects.

You may deliver completed creative works containing our assets to clients.

You may not distribute, resell, sublicense, share, upload, package, or otherwise make the original or substantially extractable source assets available to others as standalone files, downloadable resources, templates, asset packs, preset packs, plugins, or competing products.

A completed creative work does not violate this restriction merely because it incorporates a Jamo VFX product in the manner for which that product was intended.

SECTION 4 — LICENSE RESTRICTIONS

Except where expressly permitted by these Terms, by a product-specific license, or by applicable law, you may not:

• Sell, sublicense, rent, lease, redistribute, transfer, or publicly share purchased software or digital product files.

• Share, sell, publish, or distribute license keys, license credentials, account credentials, or activation information.

• Make purchased products available through file-sharing services, repositories, marketplaces, shared drives, download websites, or similar distribution methods.

• Copy or distribute a product for the purpose of allowing another person to use it without purchasing or otherwise obtaining an authorized license.

• Circumvent, disable, bypass, interfere with, defeat, or tamper with licensing, activation, authorization, access-control, or security mechanisms.

• Modify or use a product for the purpose of bypassing applicable licensing or activation restrictions.

• Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code or protected implementation details from software, except to the extent such activity is expressly permitted by applicable law notwithstanding this restriction.

• Remove or obscure proprietary notices, copyright notices, trademarks, or other rights-management information.

• Redistribute Jamo VFX assets or software as part of another template, preset pack, plugin, asset library, downloadable resource, or competing product where the underlying Jamo VFX material remains available for extraction or reuse.

• Falsely represent Jamo VFX products or intellectual property as your own.

Nothing in these Terms is intended to restrict rights that cannot lawfully be restricted or waived under applicable law.

All rights not expressly granted are reserved by Jamo VFX and its applicable licensors.

SECTION 5 — SOFTWARE ACTIVATION AND LICENSE VALIDATION

Certain Jamo VFX products use online licensing and activation technology to verify valid purchases and enforce applicable licensing restrictions.

A license may be associated with a particular customer, account, device, or machine.

License-protected software may communicate with licensing infrastructure when performing functions such as activation, validation, deactivation, license recovery, or security checks.

Information processed in connection with these functions is described in our Privacy Policy.

You agree not to intentionally interfere with or circumvent legitimate licensing or activation functionality except to the extent such restriction is prohibited by applicable law.

Where reasonably necessary to investigate suspected fraud, unauthorized distribution, license abuse, or circumvention, we may temporarily restrict licensing functionality while the matter is investigated.

Where permitted by applicable law, licenses associated with fraudulent purchases, unauthorized distribution, material violations of these Terms, or other material license abuse may be suspended or terminated.

SECTION 6 — SOFTWARE COMPATIBILITY, THIRD-PARTY SOFTWARE, AND UPDATES

Our products may depend on third-party applications, operating systems, hardware, drivers, frameworks, APIs, or other technology that we do not control.

Compatibility information available at the time of purchase is intended to describe supported environments at that time.

Changes made by third parties, including updates to operating systems, host applications, hardware platforms, APIs, security requirements, or other technology, may affect compatibility or functionality.

Unless expressly promised as part of a specific product offering, purchase of a product does not constitute a guarantee of indefinite compatibility with future versions of third-party software, operating systems, hardware, or other technologies.

We may provide updates, fixes, improvements, additional content, compatibility updates, or new versions at our discretion or as otherwise expressly stated in connection with a particular product.

Some updates may modify, replace, add, or remove functionality where reasonably necessary for technical, compatibility, security, licensing, or product-development reasons.

Nothing in this section limits any warranty or consumer right that cannot lawfully be excluded.

SECTION 7 — ORDERS, DIGITAL SALES, AND REFUNDS

When you place an order, you are making an offer to purchase.

Jamo VFX reserves the right to accept or decline an order where reasonably necessary, including in circumstances involving payment issues, suspected fraud, pricing errors, unauthorized transactions, product restrictions, or other legitimate business or legal reasons.

Your order is accepted when we confirm acceptance or otherwise make the purchased product available to you.

Payment must be successfully processed before products are provided unless otherwise expressly stated.

Please review your order carefully before submitting it because our digital products are generally delivered, licensed, or made available for access immediately or shortly after payment is completed.

Digital Product Refunds

Because our products are digital and are generally delivered, made available for download, licensed, activated, or otherwise made accessible immediately or shortly after purchase, all digital product sales are final and non-refundable once access to the purchased product has been provided, except where a refund is required by applicable law or expressly provided under our Refund Policy.

A customer's change of mind, failure to use a product, or determination that a product does not fit their personal preferences or workflow does not, by itself, create a right to a refund except where required by applicable law or expressly provided under our Refund Policy.

Before purchasing, you are responsible for reviewing the applicable product description, system requirements, compatibility information, demonstrations, included content, and other information reasonably made available on the product page.

Nothing in this section limits any refund, cancellation, withdrawal, warranty, or other consumer right that cannot lawfully be excluded or waived.

Please review our Refund Policy before completing your purchase for additional information regarding refunds and digital products.

You may use products in professional and commercial creative work where permitted by the license provided in these Terms. You may not purchase products for unauthorized resale, redistribution, sublicensing, or export in violation of applicable law.

SECTION 8 — PRICES AND BILLING

Prices, discounts, and promotions may change without notice.

The price charged for a product or Service will generally be the price displayed when the order is placed, subject to correction of genuine pricing or technical errors as permitted by applicable law.

Applicable taxes or other charges may be calculated during checkout.

Promotional offers may be governed by additional terms. If specific promotion terms conflict with these Terms regarding that promotion, the specific promotion terms will control to the extent of the conflict.

You agree to provide current and accurate purchase and payment information.

You represent that you are authorized to use the payment method submitted with your order.

SECTION 9 — DIGITAL DELIVERY

Most Jamo VFX products are digital products and are delivered electronically rather than physically shipped.

Digital products may be delivered through download links, customer accounts, email, license credentials, software activation, or another electronic delivery method.

You are responsible for providing a functioning email address and maintaining reasonable access to the account or email address used for your purchase.

Delivery times displayed for digital products are estimates and may be affected by payment verification, fraud-prevention checks, technical issues, email delivery systems, third-party services, or other circumstances.

If you experience a legitimate problem receiving or accessing a purchased product, contact Jamo VFX support so that we can investigate the issue.

Any physical product expressly identified as such will be subject to any applicable shipping terms presented in connection with that product.

SECTION 10 — INTELLECTUAL PROPERTY

The Services and their contents, including trademarks, trade names, logos, website designs, text, displays, images, graphics, videos, audio, software, plugins, presets, templates, animations, effects, assets, code, documentation, and other materials, are owned by or licensed to Jamo VFX and are protected by applicable intellectual property laws.

Your purchase of a product does not transfer ownership of Jamo VFX intellectual property.

The license granted to purchased products is limited to the rights expressly provided in these Terms or any applicable product-specific license.

You may not reproduce, distribute, publicly display, republish, download, store, transmit, or exploit website materials except as reasonably necessary to use the Services or as otherwise expressly permitted.

This restriction on website materials does not prevent you from using a purchased Jamo VFX product in accordance with the software and digital product license granted in these Terms.

Jamo VFX names, logos, product names, designs, and slogans may constitute trademarks or other proprietary identifiers of Jamo VFX or its licensors and may not be used in a manner that falsely suggests endorsement, affiliation, sponsorship, or ownership.

All rights not expressly granted are reserved.

SECTION 11 — OPTIONAL TOOLS

We may provide access to tools, functionality, integrations, or services supplied by third parties.

Such third-party services may be subject to their own terms, privacy policies, requirements, and availability.

To the extent permitted by applicable law, we are not responsible for third-party services that we do not own or control.

You should review the applicable terms and policies before using third-party services.

We may offer new functionality, tools, features, resources, or integrations in the future. Unless otherwise stated, such features form part of the Services and are subject to these Terms.

We do not control third-party websites and are not responsible for their content, security, availability, or practices.

If you access or purchase products or services from a third party, your relationship with that third party may be governed by its own terms and privacy practices.

SECTION 13 — RELATIONSHIP WITH SHOPIFY

Jamo VFX is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with Jamo VFX.

By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Jamo VFX, including any injury, damage, or loss resulting from purchased products and services.

You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Jamo VFX.

SECTION 14 — PRIVACY POLICY

Personal information processed through the Services is handled as described in our Privacy Policy.

Our Privacy Policy includes information regarding ecommerce transactions, Shopify, software licensing and activation, device-related licensing information, service providers, privacy rights, and other data-processing practices.

Certain personal information may also be processed by Shopify according to Shopify's applicable privacy policies.

By using the Services, you acknowledge that you have had an opportunity to review the applicable privacy notices.

SECTION 15 — FEEDBACK

If you voluntarily submit reviews, suggestions, ideas, recommendations, feedback, or similar material regarding Jamo VFX or its products (“Feedback”), you grant us a worldwide, non-exclusive, sublicensable, royalty-free license to use, reproduce, publish, display, adapt, and distribute that Feedback for purposes including operating, improving, promoting, and supporting our products and Services.

You represent that you have the rights necessary to provide the Feedback and that your Feedback does not violate applicable law or the rights of another person.

Where legally required, any material connection, payment, discount, free product, or other incentive associated with Feedback must be appropriately disclosed.

Nothing in this section transfers ownership to us of intellectual property unrelated to the Feedback you voluntarily submit.

SECTION 16 — ERRORS, INACCURACIES, AND OMISSIONS

Information presented through the Services may occasionally contain typographical errors, inaccuracies, omissions, or technical errors relating to product descriptions, pricing, promotions, availability, compatibility, or other information.

We reserve the right to correct errors and update information.

Where permitted by applicable law, we may cancel or modify an order affected by a genuine material pricing or listing error and will provide any refund required as a result.

• To scrape, harvest, or collect personal information unlawfully.

• To impersonate another person or entity.

• To distribute spam, phishing communications, or fraudulent content.

• To facilitate unauthorized redistribution, piracy, cracking, circumvention, or infringement of Jamo VFX products.

• To otherwise use the Services in a manner that materially harms Jamo VFX, Shopify, our customers, or others.

We may take reasonable technical or administrative measures to prevent prohibited uses.

SECTION 18 — AUTOMATED AGENTS

This section applies if you use automated or semi-automated software, agents, bots, scrapers, or similar systems (“Agents”) to access or interact with the Services.

Agents must comply with applicable access controls, technical restrictions, instructions, rate limits, and other measures used to protect the Services.

You may not use an Agent to conceal automated activity, bypass access restrictions, defeat CAPTCHAs or similar safeguards, obtain unauthorized access, scrape restricted information, or otherwise circumvent technical measures designed to control access to the Services.

We may limit or block automated access where reasonably necessary to protect the Services, customers, systems, or rights of Jamo VFX or others.

SECTION 19 — SUSPENSION AND TERMINATION

You may stop using the Services at any time.

We may suspend or terminate access to an account, product, license, or Service where reasonably necessary and permitted by law, including in connection with:

• A material violation of these Terms.

• Unauthorized redistribution or sharing of products.

• License abuse or circumvention.

• Fraudulent purchases or payment activity.

• Unauthorized access or security threats.

• Unlawful use of the Services.

• Conduct that materially threatens the security or integrity of our Services or products.

Where appropriate under the circumstances, we may provide notice or an opportunity to resolve the issue.

Termination does not eliminate obligations or liabilities that accrued before termination.

Provisions that by their nature should survive termination, including intellectual property rights, license restrictions, disclaimers, limitations of liability, indemnification, dispute provisions, and payment obligations, will continue to apply.

SECTION 20 — DISCLAIMER OF WARRANTIES

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AND EXCEPT FOR ANY WARRANTY EXPRESSLY PROVIDED BY JAMO VFX, THE SERVICES AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

WE DO NOT MAKE WARRANTIES OR REPRESENTATIONS BEYOND THOSE EXPRESSLY STATED BY JAMO VFX REGARDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AVAILABILITY, OR ERROR-FREE OPERATION.

WE DO NOT GUARANTEE THAT THE SERVICES OR PRODUCTS WILL OPERATE WITHOUT INTERRUPTION OR ERROR OR REMAIN COMPATIBLE WITH EVERY FUTURE VERSION OF THIRD-PARTY SOFTWARE, HARDWARE, OR OPERATING SYSTEMS.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS OR LIMITATIONS. NOTHING IN THESE TERMS EXCLUDES, RESTRICTS, OR MODIFIES A WARRANTY, GUARANTEE, CONSUMER RIGHT, OR OTHER LEGAL PROTECTION THAT CANNOT LAWFULLY BE EXCLUDED, RESTRICTED, OR MODIFIED.

SECTION 21 — LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, JAMO VFX AND ITS AFFILIATES, PARTNERS, EMPLOYEES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOSS OF DATA, OR SIMILAR LOSSES ARISING OUT OF OR RELATING TO THE SERVICES OR PRODUCTS.

TO THE EXTENT LIABILITY CANNOT LAWFULLY BE EXCLUDED, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO A PARTICULAR PURCHASE, PRODUCT, OR SERVICE WILL, TO THE FULLEST EXTENT PERMITTED BY LAW, NOT EXCEED THE AMOUNT YOU PAID TO JAMO VFX FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.

THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY ASSERTED AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, EXCEPT WHERE SUCH LIMITATION IS PROHIBITED BY APPLICABLE LAW.

NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT LEGALLY BE LIMITED OR EXCLUDED.

SECTION 22 — INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless Jamo VFX and its affiliates, partners, employees, agents, contractors, licensors, and service providers from third-party claims, liabilities, damages, losses, and reasonable costs arising from:

• Your material breach of these Terms.

• Your violation of applicable law.

• Your infringement or violation of another person's rights.

• Your unauthorized redistribution, resale, sublicensing, or misuse of Jamo VFX products.

We will provide reasonable notice of an indemnifiable claim where practicable.

Nothing in this section requires indemnification to the extent prohibited by applicable law.

SECTION 23 — SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the fullest extent permitted by applicable law or severed to the minimum extent necessary.

The remaining provisions will remain in effect.

SECTION 24 — WAIVER; ENTIRE AGREEMENT

Our failure to exercise or enforce a right or provision of these Terms does not constitute a waiver of that right or provision.

These Terms, together with our Refund Policy, Privacy Policy, any product-specific license terms, and other policies or terms expressly incorporated by reference, constitute the agreement between you and Jamo VFX regarding the matters they address.

Where product-specific terms expressly conflict with these general Terms, the more specific product terms will control with respect to that product.

SECTION 25 — ASSIGNMENT

You may not transfer or assign your rights or obligations under these Terms, including software licenses, except with our prior written authorization or where such restriction is prohibited by applicable law.

We may assign or transfer these Terms in connection with a merger, acquisition, corporate reorganization, sale of substantially all relevant assets, or similar business transaction, or otherwise where permitted by applicable law.

SECTION 26 — GOVERNING LAW

These Terms and any dispute arising from or relating to these Terms or the Services will be governed by the laws of the State of Colorado and applicable federal law, without regard to conflict-of-law principles.

Nothing in this section deprives a consumer of any mandatory protection provided by the laws of their place of residence where such protection cannot lawfully be waived.

Any dispute will be brought in a court of competent jurisdiction as permitted by applicable law.

Section headings are provided for convenience and do not limit or otherwise affect the interpretation of these Terms.

Changes to these Terms do not retroactively remove rights that have already accrued under applicable law.
